How to communicate the location where the Register of Partners/Shareholders is kept

It is the responsibility of individuals to carry out the necessary research or to contact local professionals regarding the conditions under which the company operates and any implications (tax, accounting, etc.).

The new provisions apply to the following legal structures:

• Société à responsabilité limitée - SARL 
• Société unipersonnelle à responsabilité limitée - SURL 
• Société anonyme - SAM
• Société en commandite simple - SCS
• Société en nom collectif - SNC
• Société en commandite par actions - SCA
• Groupement d’intérêt Economique - GIE
• Société Etrangère – SE 
• Société civile
• Société Anonyme à objet civil

The register must be kept and available at the registered office of the legal entity, or failing that, at another location in Monaco and in particular, with one of the following professionals (*) established in Monaco and subject to Act no. 1.362 of 3 August 2009, amended:

• A defence lawyer, lawyer or junior lawyer
• A chartered accountant or authorised accountant
• A notary
• A Company service provider
• A legal advisor
• A Multi Family office

(*) persons or organisations prescribed in paragraphs 6, 13, 19 or 20 of Article 1  or paragraphs 1 or 3 of Article 2 of Act no. 1.362 of 3 August 2009, amended. 

The identity and address are communicated to the Trade and Industry Directory Office.

Content of the Register of Partners or Shareholders

The register of partners or shareholders of the company or that of the members of Economic Interest Groups must include their surname, preferred name, any alternative name or pseudonym, first names, date and place of birth, nationality(ies), home address, family circumstances and, where applicable, matrimonial property scheme of and their contact details

If these persons are legal entities, the register of partners or shareholders should include the company’s name or registered name, legal form, address of the company's registered office, the company’s registration number and the place in which it is registered publicly, as well as the surname, preferred name, alternative name or pseudonym, first names, date and place of birth, nationality(ies), and personal address of:

• Persons empowered to administer, manage or enter into legally binding commitments on a habitual basis in respect of third parties or their equivalents under foreign law
• The permanent representative, if one is required to be appointed under applicable laws or regulations

The register must also show the number of shares or equity held by each partner or shareholder, the categories of shares or equity, the corresponding numbering of shares or equity and the voting rights attached to them.

This register must contain all supporting documents necessary to establish the accuracy of the information entered in it. 

The agreement by which a partner, shareholder, manager, director or member acts on behalf of another person, the register must mention the identity of the latter, and designate the principal and the agent, otherwise it is not valid

The information in this register must be kept up to date at all times.

The procedure is entirely free of charge and the location of storage must be communicated to the Business Development Agency (Direction du Développement Economique, 9 rue du Gabian – 98000 Monaco, open from 9.30 am to 5.00 pm Monday to Friday).
