The option to deregister a company by making a simple declaration is available to non-trading companies that do not require authorisation and do not have assets or liabilities. It allows such companies to be dissolved early without liquidation, and to be removed from the special register.
Understanding the process
It is possible for non-trading companies that do not require authorisation to request early dissolution without liquidation and deregistration by making a simple declaration, provided that:
- The declaration, registered with the Department of Tax Services, is signed by all of the company’s partners or their beneficiaries, as well as by the manager(s)
And that they confirm:
- That the company should be dissolved early
- That the company no longer has any assets or liabilities, meaning that liquidation is not required
- That the company should be removed from the Special Register of Non-Trading Companies
And that they provide the name of the person or people responsible for retaining basic information and information about the beneficial owners, as well as the address where this information is kept in Monaco.
Formal publication and registration procedures.
The deregistration of a non-trading company that does not require authorisation is not subject to publication in the Journal de Monaco.
The application must be submitted using the appropriate form, duly completed and signed.
The form may be:

- Collected from the reception desk of the Business Development Agency
You must provide the following documents:
- Two copies of the "Demande de radiation – modèle C3" form
- The declaration registered with the Department of Tax Services
- For natural persons:
- Une copie de la carte nationale d’identité ou du passeport pour les personnes de nationalité monégasque, une copie de la carte de séjour pour les résidents à Monaco ou une copie de la carte d’identité ou du passeport pour les non-résidents
- Un justificatif de domicile daté de moins de trois mois
- For legal persons:
- A copy of the document establishing the agreement of the partners/shareholders
- A copy of the residence permit, or identity card or passport, of the person or people with the capacity to act on behalf of the legal entity
- A proof of address dated within the last three months
To meet the requirements of the registration procedure, subsequent declarations or the deregistration request, the supporting documents must be submitted in French, translated and certified by the person making the declaration, if required. Only supporting documents in French are deemed authentic.
When the submitted supporting document is a copy, it is declared to be certified by the registrant.
Additional supporting documents may be requested of the registrant as the Trade and Industry Directory department deems necessary.
The application comprises the completed, dated and signed forms, in duplicate, and supporting documents.
It must be submitted or sent off to the Trade and Industry Directory, accompanied by payment of the €25 for a non-trading company.
Postage costs will need to be added to these fees if documents are sent (example: a copy of the form, a registration or deregistration certificate).
Payment should be made by cheque made payable to the "RCI" (Trade and Industry Directory), or in cash or bank card to the reception desk of the service.
