Understanding the process
To satisfy the registration formality, subsequent reporting formalities, or the deregistration request, all supporting documents must be provided in French. If they are in another language, they must be translated and certified as a true copy by the declarant.
Only documents submitted in French are considered official.
If a submitted document is a copy, it must be certified as a true copy by the declarant.
Additional supporting documents may be if the Trade and Industry Directory considers them necessary.
Natural persons and legal entities deemed to be traders under the law and carrying out commercial activities on the territory of the Principality, as well as economic interest groups (EIGs) are registered with the Trade and Industry Directory (RCI).
People who carry out manufacturing activities or are self-employed are not recorded on the RCI.
The registration of a company is subject to publication in the Journal de Monaco.
The registration with the Trade and Industry Directory requires the issuance of an acknowledgement of declaration of intent or an administrative authorisation and must be completed no later than one month after this acknowledgement or authorisation is issued for SURLs, SARLs, SNCs, SCSs and foreign companies.
This one-month deadline may, however, be extended by the Director of Business Development Agency for a period determined by him, upon request, for a legitimate and duly justified reason.
Without this, registration with the Directory will be refused. Furthermore, the declaration of intent or administrative authorisation expires and the application is closed without follow-up.
Within three months following the publication of the Ministerial Decree granting administrative authorisation, the company shall proceed with the following publication formalities:
- Filing of a certified copy or original or a copy certified by the founders of the articles of association with the Trade and Industry Directory, which will transmit it to the General Court Registry for transcription in the register maintained for this purpose and display to the public for three months within the Palais de Justice (Palace of Justice), to which must be attached:
- A copy certified by the founders of the resolutions passed by the general assembly in the cases provided for in Articles 17 to 19
- A copy certified by the founders of the declaration of subscription and payment of capital containing, in annex, the list of subscribers with indication of their surname, first names, capacity, address or corporate name, legal form and registered office for legal entities, and the number of shares subscribed by each of them
- Mention in the Journal de Monaco, prepared at the expense of the company, by the Business Development Agency, comprising the date of filing with the General Court Registry and publication of an extract of the articles of association containing:
- The date of the articles of association
- The legal form of the company, its company objects and its company name
- A statement indicating that the company’s registered office is located in Monaco
- The amount of the share capital
- The duration
Registration into this Directory takes place after submission of a copy of the articles of association to the General Court Registry and their publication in the Journal de Monaco. This is at the expense of the company by intermediary of the Business Development Agency.
As regards foreign companies, registration with the Trade and Industry Directory is not subject to publication in the Journal de Monaco.
Information to be entered on the Trade and Industry Directory:
- The legal form of the company
- The company name or registered name of the company, followed, where appropriate, by the abbreviation used as well as the trading name or the trading names used
- The company’s objects
- The duration of the company as fixed by the articles of association; if it’s a company whose registered office is abroad, the date on which it obtained the administrative authorisation provided for in Article 5 of Act no. 1.144 of 26 July 1991, as amended
- The address of its registered office and, where appropriate, the location of its principal place of business and those of the various establishments of any kind operated by it in Monaco
- The date of incorporation of the company and:
- For companies other than "sociétés par actions" (Partnership limited by shares): the date of filing at the General Court Registry of the extract of the Articles of Association and the date of publication in the Journal de Monaco of that extract
- For "sociétés par actions" (Partnership limited by shares): the date of filing at the General Registry of the certified copy of the Articles of Association and the date of publication in the Journal de Monaco of these Articles of Association
- The amount of the share capital of the company, the number of shares or partnership interests it represents as well as their nominal value, with the exception of companies whose securities are admitted to trading on a regulated market, for which the nominal value of the securities does not need to be communicated
- The date of the close of the fiscal year of the company
- The surname, preferred name, any alternative name or pseudonym, first names, date and place of birth, nationality(ies), personal address, marital status and, where applicable, the date and place of marriage as well as the matrimonial property scheme of:
- Each person authorised to administer, manage or enter into legally binding commitments on behalf of the company and the duration of their mandate
- Each partner or shareholder of the company, with the exception of those of companies whose securities are admitted to trading on a regulated market
- When the persons mentioned above are legal entities, the registration request shall contain the company name or registered name, the legal form, the address of the registered office, the number and place of registration in a public register, as well as the surname, preferred name, any alternative name or pseudonym, first names, date and place of birth, nationality(ies), and personal address of:
- The persons authorised to administer, manage or enter into legally binding commitments on a regular basis with regard to third parties or their equivalents under foreign law
- The permanent representative, where his appointment is provided for by legislative or regulatory text
- The identity of the person or persons designated as responsible for basic information of the legal entity and, if different, that of the person or persons responsible for information on beneficial owners
- The name of the credit institution established in Monaco where an account is opened for the exercise of its professional activity under Act no. 1.492 of 8 July 2020, as mentioned above
- The company’s status established on the date of commencement of activity
- For lease managements, the start and end date and dates of publication of both in the Journal of Monaco:
- When the leasing business owner is a natural person: surname, first name(s), Trade and Industry Directory registration number
- When the leasing business owner is a legal entity: the company name or registered name and Trade and Industry Directory registration number
Furthermore, the applicant must carry out, in parallel with the registration procedures, the following steps:
Declaring a beneficial owner
Companies and GIEs registered in the Trade and Industry Directory are subject to the declaration of beneficial owners.

Designating a person responsible for the information
Companies and GIEs must communicate to the Trade and Industry Directory Service the identity of the person or persons designated as Person responsible for basic information on the legal entity as well as a Person responsible for information on beneficial owners.

Communicating the location where the Register of partners/Shareholders is kept
Every legal entity registered with the Trade and Industry Directory must maintain a register of its partners or shareholders and communicate where the Register of is kept.

In addition to the completed registration form, the person liable must provide the following documents, with the exception of those already submitted with the declaration of business or the request for administrative authorisation to carry out a business activity:
- Where applicable, a copy of the deed of ownership of the premises or proof of ownership, a copy of the tenancy agreement or the amendment registered with the Department of Tax Services, a copy of the precarious occupation agreement registered with the Department of Tax Services, a copy of the accommodation contract or accommodation certificate
- In the case of lease management or acquisition of goodwill or the commercial leasehold rights, the contract or deed of sale reiterated and registered with the Department of Tax Services, together with the relevant notices published in the Journal de Monaco
- The certificate confirming the opening of a deposit account in a credit institution established in Monaco or the bank certificate confirming the deposit of the minimum statutory amount for a private limited liability company
- Where the nature of the business activity carried out requires a professional indemnity insurance, the insurance certificate
- If the nature of the business activity requires one or more financial guarantees, the certificate from a bank or the financial institution authorised to provide a guarantee and having its head office or branch in the Principality
Notwithstanding the above-mentioned documents, the person liable must provide the necessary documents to prove:
- The identity of the applicant
- The accuracy of the information provided in the application
- Compliance with the various formalities and the fulfilment of the conditions prescribed by the legislation and regulations in force applicable to the applicant, as well as the obtaining of prior authorisations
The application must comprise the completed, dated and signed forms, in duplicate, and above-mentioned supporting documents.
It must be submitted or sent off to the Trade and Industry Directory, accompanied by payment of the registration fee of €75.00 for a SARL/SURL/SNC/SCS/Foreign companies and €100.00 for a société par actions (Partnership limited by shares).
To these fees, the following must be added:
- The registration certificate
- Publication in the Journal de Monaco
- The extract(s)
- Postage fees if documents are sent by post
The total amount of fees will be provided by the Trade and Industry Directory when you carry out the registration procedure.
Payment should be made by cheque made payable to the "RCI" (Trade and Industry Directory), or in cash or bank card.
