Natural persons carrying out commercial activity and businesses (except partnerships and economic interest groupings) are registered on the Trade and Industry Registry (RCI).
People who carry out manufacturing activities or are self-employed are not recorded on the RCI.
Registration must be completed within the two months which follow the commencement of activity.
Understanding the process
The Trade Registry Service ensures that the legal publication formalities have been fulfilled.
Registration is subject to provision of evidence showing the license to exercise the activity or, for Monegasque nationals who do not exercise a regulated activity, the provision of a receipt of notification of exercise.
Registration of SAMs takes place after the following publication formalities:
- Publication, in the Journal de Monaco, of the ministerial decree which authorises and approves the memorandum and articles of association of the public limited company
- Publication of the entire memorandum and articles of association in the Journal de Monaco
- Publication, in the Journal de Monaco, of the date that a certified copy of the memorandum and articles of association, the statement of subscription, the statement of the payment of capital made by the founder and the minutes of the founding general meeting were filed with the General Court Registry
Registration of other businesses (SARL, SCS and SNC) takes place after submission of a copy of the articles of association to the General Court Registry and their publication in the Journal de Monaco. This is at the expense of the company by intermediary of the Business Development Agency.

The business
- A certified copy of the filing of the minutes of the founding general meeting
- The minutes of the Board of Directors’ proceedings
Personal evidence
Proof of the identity, nationality and address of the directors and any third parties who have management power: for example the Managing Director, proxyholder, etc. These parties would have management power by way of the delivery of the following documents:
- Copy of an ID card or a valid passport for Monegasque nationals
- Copy of a valid residence permit for residents
- Copy of an ID card or valid passport for non residents, and if need be, proof of address along with a translation performed by a sworn translator.
The premises
- The tenure status of the premises: tenancy agreement, short-term occupancy agreement, sale agreement for the business or the tenancy rights, tenancy management contract etc.
- In the event of sale of the business or tenancy rights: notice of publication of the sale in the Journal de Monaco
- In the event of the creation of a management contract: notice of publication of the contract
- In the event of repossession of the business: proof of the removal of your predecessor or the amendment of their registration
Other documents
The power of any possible attorney and proof of their identity (unless deeds are submitted and include the power of attorney assigned to the attorney in question).
The application must comprise the completed, dated and signed forms, in duplicate, and supporting documents.
It must be submitted or sent off to the Trade and Industry Registry at the Business Development Agency (9 rue du Gabian - opening hours 9:30am - 5:00pm), accompanied by payment of the €100 for the registration fees. This can be paid by cheque made payable to the "RCI" (Trade and Industry Registry), or in cash or bank card to the counter of the service.
Postage costs are added to these registration fees if you want some documents to be sent to you (registration form, extract from the Trade and Industry Registry).

All individuals must provide
Proof of the identity, nationality and address of the managers, partners of the SNC, active partner(s) of the SCS, partner manager(s) or non partner manager of the SARL by way of the following documents:
- Copy of an ID card or a valid passport for Monegasque nationals
- Copy of a valid residence permit for residents
- Copy of an ID card or valid passport for non residents, and if need be, proof of address along with a translation performed by a sworn translator.
For SNC and SCS
Proof of the matrimonial property scheme for partners of the SNC and active partners of the SCS:
- Either an original marriage certificate detailing the matrimonial property scheme, a copy of a marriage contract or even the copy of the court approval of the matrimonial property scheme, with a translation if necessary
The premises
- The tenure status of the premises: tenancy agreement, short-term occupancy agreement, sale agreement for the business or the tenancy rights, tenancy management contract etc.
- In the event of sale of the business or tenancy rights: notice of publication of the sale in the Journal de Monaco

- Certificate of the release of the legal minimum amount of corporate capital for a SARL
